Terms & Conditions

Welcome to Valens Technologies Inc. ("Valens", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website at valens.app, our mobile applications, and any services, smart contracts, tokens, or digital tools we provide (collectively, the “Platform”).

By accessing or using Valens, you agree to be legally bound by these Terms. If you do not agree, please do not use the platform.

1. Eligibility

You must be at least 18 years old and have full legal capacity to enter into this agreement. By using Valens, you represent and warrant that:

  • You are not located in a country subject to U.S. sanctions.

  • You are not barred from using blockchain services under applicable law.

  • You understand and accept the risks associated with crypto assets and smart contracts.

2. Platform Overview

Valens is a blockchain-based social media platform that allows users to:

  • Create public profiles

  • Launch personal tokens (“valenscoins”)

  • Tip, trade, or hold tokens as a form of social support or community engagement

  • Interact through secure, non-custodial wallets

Valens does not offer or promote securities, nor is it a broker, custodian, or investment adviser.

3. Wallets & Blockchain Access

Access to Valens requires connecting a compatible digital wallet (e.g., Solana, MetaMask). You remain solely responsible for:

  • Safeguarding your private keys

  • Managing your wallet address

  • Confirming all on-chain transactions

Valens cannot recover lost wallets, reverse blockchain transactions, or hold assets on your behalf.

4. Creator Tokens (“valenscoins”)

Users may mint their own tokens via our platform. These tokens:

  • Are intended for community engagement and access-based perks, not financial speculation

  • Must not represent investment contracts or securities under the Howey Test

  • Must not promise guaranteed returns or be used for unlicensed fundraising

We reserve the right to remove tokens that violate these guidelines or local laws.

 5. Fees

Valens charges platform fees between 2%–5% on wallet-based transactions, including:

  • Token launches

  • Tips

  • Trades

  • Premium feature usage

Fees are disclosed at the time of transaction and are subject to change with notice.

6. Prohibited Conduct

You agree not to:

  • Use the platform to engage in fraud, money laundering, or illegal activities

  • Create tokens that promote hate, discrimination, violence, or misinformation

  • Exploit the platform to manipulate token prices or abuse staking systems

  • Interfere with smart contracts or network integrity

Violation may result in account suspension, token removal, and legal action.

7. Intellectual Property

All platform code, branding, content, and licensed IP (e.g., celebrity drops, brand-backed tokens) remain the property of Valens or its licensors.

Users retain ownership of original content they post but grant Valens a non-exclusive license to display it within the platform.

 8. Disclaimers

  • Crypto Risk: All token usage is at your own risk. Prices may fluctuate, and you may lose all value.

  • No Guarantees: We do not guarantee platform uptime, token success, or future financial performance.

  • Third-Party Links: Valens may integrate with third-party tools or wallets. We are not responsible for their actions or policies.

9. Limitation of Liability

To the fullest extent permitted by law, Valens shall not be liable for:

  • Lost funds due to wallet mismanagement

  • Smart contract bugs or gas fee issues

  • Market losses or token price volatility

  • Platform outages or cyberattacks beyond our control

Our total liability shall not exceed the amount you have paid in platform fees in the past 12 months.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States.
Any disputes arising from or related to these Terms will be settled by binding arbitration in New York, NY, in accordance with the rules of the American Arbitration Association.

 11. Updates

We may update these Terms periodically. Updates will be posted on this page with a new “Last Updated” date. Continued use of Valens after changes constitutes your acceptance.
